USER AGREEMENT Thank you for visiting www.questionexchange.com (the "Web Site") which is provided by QuestionExchange, Inc. ("we," "us" or the "Company"). This Agreement sets forth the terms and conditions under which you may use the Web Site and our services available through the Web Site. BY CLICKING ON THE "I ACCEPT" BUTTON BELOW, YOU ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT. If you do not accept these terms or have any questions regarding this Agreement or the services provided by QuestionExchange, please contact agreement@questionexchange.com. We may amend this Agreement at any time by posting the amended terms on this web page. If you wish to receive an email update for each amendment to this Agreement please so indicate by checking the box at the bottom of this page. The amended terms will become automatically effective after they are posted on our site, and you will be bound by the amendment if you subsequently use the Web Site. This Agreement may not be otherwise amended except in a written agreement signed by you and by us. This Agreement was last revised on 08/05/1999. 1. Eligibility for Membership. Our services are only available to individuals who can form legally binding contracts under applicable law. You may not permit any third party to use your password and you may not use your password for any unauthorized purpose. We may refuse to provide our services to anyone at any time, in our sole discretion. 2. Fees. Becoming a member of QuestionExchange is free. Our current Fee Arrangement and Payment Policy (as it may be amended, the "Payment Policy") is available at Payment Policy, may be changed by us at any time in our sole discretion, and is incorporated herein by reference. Unless otherwise stated, all fees are quoted in U.S. dollars. Our fees are exclusive of taxes, and you are responsible for paying all applicable taxes that may be assessed in connection with your use of QuestionExchange or access to the Web Site. We may in our sole discretion add, delete or change some or all of the services we offer at any time, without advance notice. 3. QuestionExchange is a Venue. The Web Site is a venue for individuals with questions ("Customers") to obtain answers from individuals with expertise ("Experts"). Those who use our services or the Web Site, including Customers and Experts, are sometimes referred to in this Agreement collectively as "Users." We are not involved in the actual transaction between Customers and Experts. We have no control over, and shall have no responsibility or liability for, Customers' questions, Experts' answers, or any other acts or omissions of Users. Experts are qualified to provide answers for value through QuestionExchange based upon ratings provided by Customers. We do not independently evaluate Experts or the answers they provide, and make no representation or warranty concerning the expertise or ability of any Expert or the sufficiency, quality or legality of the answers (or any related information or materials) provided by any Expert. You agree that your use of QuestionExchange and your reliance on any questions, answers, information or other materials received through the Web Site will be at your own risk. 4. Questions. If you have registered as a Customer, you may post appropriate questions on the Web Site. In order to post a question, you must have made an advance payment to us of an amount at least equal to the greater of the question price you set or $25. Each question must be posted in the appropriate topic forum and must state (a) either the price you are willing to pay for an answer (such an answer being referred to in this Agreement as a "Fixed Price Answer") or that the price of the answer will be subject to an auction (such answer referred to in this Agreement as an "Auctioned Answer"), (b) the time frame within which you will accept an answer, and (c) whether the answer will be a "Restricted Answer," "Unrestricted Answer" or "Freeware Answer." A "Restricted Answer" may not be resold by the Expert. An "Unrestricted Answer" may be resold by the Expert. A "Freeware Answer" may be posted on our Web Site for all Users to view and use. For a more detailed description of the procedure for posing questions or the auction process, please see FAQ Customer and FAQ Expert. If you have requested a "Fixed Price Answer" you will be notified when an Expert has answered your question. If you have requested an "Auctioned Answer" you may select an Expert from those who have submitted bids. Subject to your right to refuse payment to the Expert for an unsatisfactory answer as provided in Section 7 below, 30 days after your receipt from the Expert of an answer within the time frame you specified with your question, we will pay the Expert the price you specified with the question, net of our fee and other deductions in accordance with the Payment Policy. 5. Answers. If you have registered as an Expert, you may answer questions posted by Customers on the Web Site. Once you are certified in a particular forum you may answer Customer questions for value. If the Customer has requested a "Fixed Price Answer" and you have agreed to answer a question, you will be notified if the question has not already been taken and you may answer the question. If the Customer has requested an "Auctioned Answer", (as described in Section 6 below), you may submit a bid to provide the answer. If you agree to answer a question, you will provide an answer to the best of your abilities within the time frame specified by the Customer. Subject to Section 7 below, when you answer a question in accordance with the foregoing within the time frame specified by the Customer, we will pay over to you, from the amount paid to us by the Customer, the price specified by the Customer, net of our fee, and other deductions, in accordance with the Payment Policy. 6. Certification Exam. In order to answer questions for value in a particular forum, an Expert must take the Certification Exam in that forum. The Certification Exam is composed of free questions posted by Customers. If the first five ratings by Customers of Expert's answers to these questions averages 7 or more on a scale of 1 (low) - 10 (high), the Expert is "certified." 7. Unsatisfactory Answers. If as a Customer you receive an answer that you find unsatisfactory, and if the Expert does not remedy the problem to your satisfaction within 30 days of your initial receipt of the answer when you comply with the QuestionExchange complaint procedure, you may refuse payment to the Expert for that answer. For a more detailed description of the complaint procedure, please see FAQ Customer. To refuse payment, you must comply with the complaint procedure, which is designed to give the Expert a fair opportunity to remedy your dissatisfaction before payment is withheld. However, the determination whether the answer is satisfactory rests with you as Customer. Your sole remedy against an Expert for an unsatisfactory answer is the right to refuse payment to Expert in accordance with this paragraph, except for the indemnity set forth in Section 16. 8. Re-Sale of Answers. Once you as an Expert have answered an Unrestricted Answer question, you may re-sell the Unrestricted Answer to other Customers. Each Expert agrees that such Expert will not sell, or otherwise make available in exchange for payment, any Restricted Answer or Freeware Answer. Each User and Customer agrees that such User or Customer will not sell, or otherwise make available in exchange for payment, any answer provided by an Expert through the Web Site. For a more detailed description of the Unrestricted Answer re-sale procedure, please see other pages of the Web Site. We will deduct and retain our fee and other deductions, in accordance with the Payment Policy, from Customer payments for re-sold Unrestricted Answers. 9. Ratings; No Manipulation. 9.1. If you are an Expert, you understand that Customers will have an opportunity to rate and comment on your performance and conduct as an Expert. Similarly, if you are a Customer, you understand that Experts will have an opportunity to rate and comment on your performance and conduct as a Customer. In addition, Users may have other opportunities to evaluate or provide feedback concerning your participation in QuestionExchange, and we may publish information about your participation (such as information concerning failures by Experts to provide timely answers to questions they have undertaken to answer, or information concerning exercise by Customers of the right not to pay Experts in the case of unsatisfactory answers). You understand that all such ratings and information will be public and available for other Users to view. Because ratings are not designed for any purpose other than facilitating transactions between QuestionExchange Users, we may suspend or terminate your account if you choose to market or promote your QuestionExchange ratings in any venue other than QuestionExchange. 9.2. You agree that you will not manipulate or attempt to manipulate any ratings or feedback information concerning you as an Expert or Customer. Without limiting the foregoing, you may not rate or provide feedback on yourself; you may not submit questions as a Customer that you as an Expert will answer in order to become certified as an Expert; and you as a Customer may not buy your own answers as an Expert. Subject to these prohibitions against manipulation and the other terms of this Agreement, you may participate in QuestionExchange as both a Customer and an Expert if you wish. 10. Users' Information; License. You are responsible for all information and material you provide to us or other Users during the registration, question, answer or rating process, in any public message area on the Web Site, through any e-mail feature, or by any other means in connection with QuestionExchange, just as other Users are responsible for all such information and materials they provide (all such information and materials provided by you or other Users being referred to herein collectively as "Information"). 10.1. You agree and warrant that your Information will be legal and will not violate any other person's rights. By way of example and without limiting the foregoing, you agree that you will not post or provide any Information in which any other party has rights without first obtaining all necessary permissions, and further agree and warrant that your Information: (a) will not infringe any other party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (b) will not violate any law, statute or regulation (including without limitation those governing export control, consumer protection, unfair competition or false advertising); (c) will not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing, or otherwise violate the legal rights of others; (d) will not contain any viruses, corrupted files or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or misappropriate any system, data or personal information; (e) will not directly or indirectly link a User to a web site that you do not have a right to link to or include; and (f) will not advertise or offer to sell any goods or services for any commercial purpose, other than offering to provide answers as an Expert through QuestionExchange. 10.2. Each User is solely responsible for that User's Information. We act as a passive conduit for Users' online publication of their Information. We do not control the Information provided by Users; we do not endorse or guaranty the truthfulness, accuracy, quality or reliability of any Information; we will have no obligation to monitor any Information or to take any action with respect to any Information; and we will not be responsible or liable for any User's Information. However, we reserve the right to take any action with respect to Information (including, refusing to post or removing it) we deem necessary or desirable in our sole discretion to satisfy any applicable law, regulation, legal process or governmental request, or to respond to any complaint we receive. 10.3. You agree that we and other Users may freely use and distribute any Information you provide, without any further obligation to you, except as otherwise provided above in Section 8 with regard to User's use of Expert's answers. By providing Information, you grant us and each other User a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, edit, modify, prepare works derived from, perform, display, distribute, sell and otherwise exploit your Information in any form, media or technology, whether now known or hereafter developed, and to sublicense such rights through multiple tiers of sublicensees, except as otherwise provided above in Section 8 with regard to User's use of Expert's answers. We will use your personally identifiable Information only in compliance with our Privacy Policy. 11. Site Content Proprietary. Except for User Information, all text, images, graphics, software, video, sound, logos, marks and other content of the Web Site (collectively, "Site Content") is proprietary to us or our licensors. We authorize you to view, download and print the Site Content solely for your personal and non-commercial use. You may not sell or commercially exploit any Site Content. You may not modify any Site Content or remove any copyright, trademark or other proprietary notices that have been placed in the Site Content by us. Except as expressly permitted above, you may not reproduce, distribute, display, make available or otherwise use the Site Content without our prior written permission. To request such permission, you may contact us at content@questionexchange.com. 12. Compliance with Laws; No Conflict. You agree and warrant that your participation in QuestionExchange and use of the Web Site will not violate or conflict with any applicable law, statute or regulation nor any obligation or agreement you have with any other party (including, without limitation, any employment, confidentiality or non-competition obligation or agreement). You will not impersonate another person or entity or otherwise intentionally mislead us or any other User. 13. Agent for Notification of Claimed Infringement. Pursuant to the Digital Millennium Copyright Act (17 U.S.C. §512), we have designated an agent to receive notices of claimed copyright infringement. If you believe that your work has been used on the Web Site in a manner that constitutes copyright infringement, please notify our designated agent at copyright@questionexchange.com. 14. Disclaimer of Warranties. 14.1. WE PROVIDE THE WEBSITE, THE SITE CONTENT AND OUR SERVICES "AS IS" AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE AND OUR SUPPLIERS, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NEITHER WE NOR OUR SUPPLIERS MAKE ANY WARRANTY ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, SUFFICIENCY OR QUALITY OF THE SITE CONTENT, QUESTIONEXCHANGE SERVICES, USER INFORMATION, OR USER TRANSACTIONS. 14.2. WE DO NOT WARRANT THAT THE WEB SITE WILL OPERATE WITHOUT ERROR OR INTERRUPTION, OR THAT THE WEB SITE OR ITS SERVER ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MATERIALS. IF YOUR USE OF THE WEB SITE RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT, SOFTWARE OR DATA, WE SHALL NOT BE RESPONSIBLE FOR THOSE COSTS. 14.3. EXCEPT FOR THE WARRANTIES SET FORTH IN SECTIONS 10 AND 12, EXPERTS MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, CONCERNING THEIR ANSWERS OR ANY RELATED MATERIALS THEY MAY FURNISH TO CUSTOMERS, AND, TO THE FULLEST EXTENT PERMITTED BY LAW, SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 15. Limitations of Liability and Remedy; Release of Certain Claims. 15.1. Our direct involvement in dealings between Customers and Experts is limited to receiving Customer payments for Experts' services and paying them over in accordance with this Agreement. IN NO EVENT SHALL WE BE LIABLE FOR ANY DAMAGES OR COSTS OF ANY KIND ARISING OUT OF OR CONNECTED WITH YOUR DEALINGS WITH ANOTHER USER OR ANY USER'S ACTS OR OMISSIONS (INCLUDING, WITHOUT LIMITATION, ANY USER'S QUESTIONS, ANSWERS, COMMUNICATIONS OR INFORMATION) OR OUR MAKING (OR FAILING TO MAKE) ANY PAYMENTS, EXCEPT AS OTHERWISE PROVIDED IN THE LAST SENTENCE OF THIS PARAGRAPH. In the event that you have a dispute with another User, you release us (and our agents and employees) from all claims, demands, actions, suits, damages and liabilities of every kind and nature, known or unknown, arising out of or in any way connected with such dispute, except as provided in the following sentence. The preceding limitation of damages and release shall not apply to claims, demands, actions, suits or direct damages resulting from our wrongful failure to make payments to Experts or Customers in the manner required by this Agreement, BUT IN SUCH EVENT OUR LIABILITY SHALL NOT EXCEED THE AMOUNT, IF ANY, OF THE PAYMENT THAT IS THE SUBJECT OF SUCH DISPUTE. 15.2. EXCEPT AS OTHERWISE PROVIDED IN SECTION 15.1, OUR LIABILITY, AND THE LIABILITY OF OUR SUPPLIERS, TO YOU OR ANY THIRD PARTY IN ANY CIRCUMSTANCE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, AND (B) $100. 15.3. IN NO EVENT SHALL WE OR OUR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES AND COSTS FOR LOSS OF PROFITS OR BUSINESS; DAMAGES AND COSTS RESULTING FROM HARM TO OR LOSS OF EQUIPMENT, SOFTWARE OR DATA; AND DAMAGES AND COSTS RESULTING FROM CLAIMS AGAINST YOU BY THIRD PARTIES) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE QUESTIONEXCHANGE SERVICE OR THE WEB SITE, WHETHER OR NOT WE ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ANY EXPERT BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES AND COSTS FOR LOSS OF PROFITS OR BUSINESS; AND DAMAGES AND COSTS RESULTING FROM HARM TO OR LOSS OF EQUIPMENT, SOFTWARE OR DATA) ARISING OUT OF OR IN CONNECTION WITH THEIR ANSWERS, AND WHETHER OR NOT SUCH EXPERT IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; PROVIDED, HOWEVER, THAT THE FOREGOING LIMITATION SHALL NOT APPLY TO ANY DAMAGES, LIABILITIES OR COSTS (i) COVERED BY SECTION 16 OR (ii) RESULTING FROM CLAIMS OF THIRD PARTIES. 15.4. The foregoing exclusions and limitations of liability shall apply in all actions of any kind, whether based on contract (including, without limitation, breach of warranty), tort (including, without limitation, negligence and strict liability), or any other legal or equitable theory. Each of these exclusions and limitations of liability is intended to be separately enforceable, without regard to the other exclusions and limitations, and without regard to whether any other remedy under this Agreement is unenforceable or fails of its essential purpose. 16. Indemnity. You agree to indemnify and hold harmless us, and our officers, directors, employees and agents, from and against all claims, demands, actions, suits, damages, liabilities and costs (including, without limitation, reasonable legal fees) resulting from your actual or alleged breach of any provision of this Agreement or your actual or alleged wrongful acts or omissions in using QuestionExchange or the Web Site. In addition, you agree to indemnify and hold harmless each other User of QuestionExchange, and such User's officers, directors, employees and agents, from and against all claims, demands, actions, suits, damages, liabilities and costs (including, without limitation, reasonable legal fees) resulting from your actual or alleged breach of any provision of Section 10 or 12. 17. Breach. Without limiting any other remedies that may be available, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership, any of your current posted questions or answers, and any other Information you place on the Web Site if you breach this Agreement. 18. Privacy. Please see Privacy Policy for our current Privacy Policy, which is incorporated herein by reference. 19. Links to Other Sites. The Web Site contains links to third-party web sites maintained by others. These links are provided solely as a convenience to you and not as an endorsement by us of the contents of any such third-party web sites. We are not responsible for the content of linked third-party sites and do not make any representations regarding the contents or accuracy of materials on such sites. If you decide to access linked third-party web sites, you do so at your own risk. 20. Export Control. The United States controls the export of products and information. You agree to comply with those restrictions and not to export or re-export Information or Site Content to countries or persons prohibited under the export control laws. By downloading Information or Site Content, you are agreeing that you are not in a country where such export is prohibited and that you are not in the U.S. Commerce Department's Table of Denial Orders or the U.S. Treasury Department's list of Specially Designated Nationals. You are responsible for compliance with the laws of your local jurisdiction regarding the import, export, or re-export of Information and Site Content. 21. Independent Contractors. You and we are independent contractors, and no partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended by this Agreement. If you participate in QuestionExchange as an Expert, you assume complete responsibility for obligations under federal and state employers' liability, worker's compensation, social security, unemployment insurance, tax withholding, occupational safety and health administration laws and other federal, state and local laws with respect to your participation and services. 22. Notices. Except as explicitly stated otherwise, any notices shall be given by e-mail to notice@questionexchange.com (in the case of us) or to the e-mail address you provide to us during the registration process (in your case), or such other address as either of us shall specify in writing as our address for notices. Notice shall be deemed given 24 hours after e-mail is sent, unless the sending party is notified that the e-mail address is invalid. Additionally, we may give notice by certified mail, postage prepaid and return receipt requested, to the address provided to us during the registration process, or such other address as you shall specify in writing. In such case, notice shall be deemed given 3 days after the mailing date. 23. Applicable Law and Jurisdiction. The Web Site (excluding links) is controlled and operated from our offices in and around Boston, Massachusetts. While we have made no effort to publish the Web Site elsewhere, because the Web Site is published on the World Wide Web it is accessible in all fifty states and other countries. As each of these places has laws that may differ from those of Massachusetts, and as you and we benefit from establishing a predictable legal environment in which to publish, access and use the Web Site, by publishing, accessing, and/or using the Web Site you agree that all matters arising from or relating to the use and operation of the Web Site will be governed by the laws of the Commonwealth of Massachusetts, without regard to its conflicts of laws principles.
